Now that you've been approved as an official USABeards.com Retailer we need you to complete 2 more simple steps that are necessary for legal, shipping and tax purposes. 

Step One - Complete the following "Reseller Company Information" form and submit it to us, this will only need to be done once. 

Step Two - Read the "Reseller Agreement", Initial where indicated, then date, type in your name, and hit submit button.

 USABeards.com Reseller Agreement​

This RESELLER AGREEMENT is made and is effective this day as indicated below by the "Reseller" by and between USABeards.com/USRX LLC with an office address of  311 S. College Ave, Oxford, OH 45056 and "Reseller" at the business address indicated below.

1. Definitions

• 1.1  "Products" shall mean all of the products and related accessories manufactured or sold by USABeards.com.  If USABeards.com now or here after manufactures or proposes to manufacture any new product, upon release for general distribution, such new product shall become subject to the terms of this Agreement and shall qualify as a "Product" here under.
• 1.2 "Retail Area" is defined at the physical location of Reseller's Retail Store(s).
• 1.3 "Distribution Channels" shall mean all channels of distribution.
• 1.4 "Trademark" or "Trademarks" shall mean any trademarks, trade name, logos, designs, slogans or other names or marks used by USABeards.com, whether registered or otherwise.

2.  USABeards.com Reseller Agreement Processing Requirements:

• USABeards.com require that you complete the "USABeards.com Reseller Company Information​" form above and send USABeards.com  a copy of your valid state Resale Tax Certificate which can be emailed to [email protected].

​3.  Grant of Non-Exclusive Reseller Rights

• USABeards.com hereby grants Reseller a nonexclusive, nontransferable, limited license to market and resell the Products within the Retail Area subject to the terms and conditions of this Agreement.

4.  Reseller Retail Requirements:

• To receive the retail wholesale prices a Reseller must  have a legit Retail Area location which all USABeards.com Products will be sold out of to their visiting customers.  Those Retail Area locations can be defined as one of the following:
  • Barbershop/Salon
  • General Store
  • Grocery Store
  • Hardware Store
  • Coffee Shop
  • Cigar Store
  • ​Men's Specialty Shop
  • Liquor Store

5.  Reseller Pricing Structure:

•  USABeards.com will keep the Product prices updated in the online Reseller back office on our website which will be password protected and available exclusively only to our Reseller customers.
• All USABeards.com Products prices are subject to change at any time.
• All Product pricing is listed in US Dollars.
• USABeards.com does give the Resellers the flexibility to use one of three suggested retail prices on our products also listed in the Reseller section of our website.  We feel the 3 recommended price points to be in the “sweet spot” for our Products compared to our competitors pricing.
• This flexible suggested retail pricing must adhere to not only Reseller instore pricing but also includes; all forms of media, print, website(s) and social media postings.  This ensures an even playing field among all USABeards.com wholesale accounts.
• Reseller accounts may request permission for special sales events. These requests must be made in writing and can be submitted via email ([email protected]). 
• Reseller does NOT have the right to lists any USABeards.com Products on Amazon.com, Ebay and/ or other online marketplace that is not owned by the Reseller.  We protect our Resellers by NOT selling on those platforms our self and therefore to NOT allow our Resellers to market our Products in such a manner. 

6.   Minimum Product Orders

• Reseller must order a minimum of 24 pieces of Product, Reseller can select what you want, and/or purchase one of our suggested prepack packages which are outlined in the wholesale back office section of our website.

7.  Order and Deliver of Products

• Once an order is placed Reseller will be sent an invoice via email, which will include payment options embedded.
• No Reseller order will be put into the manufacturing loop until the invoice sent to the Reseller is paid in full.
• All the Products we send our Reseller accounts is handmade &  FRESH.  We will never put any stale & old product in our wholesale accounts orders.
• Generally, it takes 24-48 hours to fill and ship our orders.  However, sometimes order fulfillment and shipping can be affected by larger orders and the time of the year, such as the Christmas rush.  However, we always keep our Resellers update on the status of their order and if there are any anticipated and/or actual delays we will let you know right away.
• Once Product is shipped, Reseller will receive a USPS tracking number via the email address provided by the Reseller.

 
8.  Shipping:

• Reseller accounts are responsible for shipping costs.
• All orders shipped from USABeards.com to Reseller via USPS will include a tracking number which will be emailed to the Reseller.

9.  Payment:

• Payment is required up front & must clear prior to an order being shipped out.
• Terms of Credit may be negotiated over time but is not guaranteed, currently we don’t have any of our wholesale clients on credit but it is something we are considering.  Cost, as always, is a major factor as we explore the possibilities.  
• Currently we accept Credit Cards & PayPal payments. 
• As stated above, once an order is placed you will be sent via email, which will include payment options embedded.

10.  Reseller Support:

• All USABeards.com products are covered by the customer satisfaction & guarantees as outlined on the USABeards.com website (www.usabeards.com).  If there is ever an issue with any of the USABeards.com products sold in your retail location, we will assist in resolving the issue.
• Once your account is approved, your business will be added to our “Retail Locations” section on USABeards.com, where we can help drive traffic directly to your online business website.  Again, we will assist in helping get the word out that you are carrying the Awesome, all-natural USABeards.com beard care products.
• Additionally, we will provide, free of charge, a few retail posters to your account that can be displayed to help promote the USABeards.com brand in your store which can be reviewed in the Reseller section of the USABeards.com website

11.  Terms and Termination

• Either party may terminate this Agreement immediately if the other party breaches this Agreement and the breach is not cured within 10 (ten) business days of written notice (email) of the alleged breach to the allegedly breaching party by the other party.  Upon the termination of this Agreement in accordance with the provisions hereof:
  • (a) Reseller shall immediately cease any and all use of the Trademarks, any associated goodwill, and any other intellectual property owned, reserved or protected by USABeards.com.
  • (b) USABeards.com shall cease to provide Reseller with any further Products.
• Additional grounds for termination of this Agreement between the Reseller and USABeards.com are as follows:
  • ​If the Reseller lists any of USABeards.com's Products on Amazon.com , eBay and/or any other online marketplace platform that is not owned by the Reseller.

12.  Disclaimers:

• USABeards.com Products contain various carrier oils, essential oils, wax and shea butter ingredients which can be affected due to heat and/or extreme environmental ingredients.  Therefore, product appearance can also change due to these factors, and also during shipping (especially in extreme summer heat).  USABeards.com is not responsible for these changes and/or affects.
• USABeards.com recommends that all Products should be stored in a cool place.
• USABeards.com Products contain tree nut & botanicals.  Therefore, Allergy suffers should test before first use and/or consult with a licensed medical physician.
• Reseller shall indemnify and hold USABeards.com and it's directors, officers, employees and agents harmless from and against any and all losses, claims, damages, liabilities and expenses (including reasonable attorneys' fees) (collective "Losses") that USABeards.com may incur based upon any third party claim, charge or suit instituted against USABeards.com arising out or or resulting from:
  • (i) any breach of this Agreement by Reseller or Reseller's subcontractors or agents; and/or​
  • (ii) any negligent, unlawful or willful misuse, dissemination or resale of Products by Reseller or any third party having access to same by, through or under Reseller.​
